On February 28th, we proudly announced the acquisition of 55.21% of the share capital of Gruppo FOS, an innovative Italian company specializing in Data/AI technologies, IoT, and advanced digital solutions, listed on Euronext Growth Milan.
This strategic first step aimed to strengthen Audensiel’s presence in Italy, expand our areas of expertise, and create synergies across our international markets.
Successful Completion of the Public Tender Offer : Towards Delisting
On Friday, July 11th, 2025, Audensiel successfully finalized the Public Tender Offer (PTO) for the remaining shares of Gruppo FOS.*As a result, Audensiel now holds 97% of the company’s share capital. Under Italian regulations, reaching this threshold automatically triggers the delisting and mandatory squeeze-out procedure.This marks a pivotal step for Gruppo FOS, which is exiting the Italian stock exchange and becoming a fully owned subsidiary of Audensiel.
